These Terms of Service ("Terms") govern the relationship between Socei, a proprietorship firm of Preeti Singhal, registered at Sr No-13/B,1/2/3, Wadgaonsheri, Sophoronia, Wadgaonsheri, Pune, Maharashtra 411014 ("Provider", "we", "us") and your co-operative housing society or association ("Customer", "you", "your society") for the use of the Socei platform, mobile applications, and related services (collectively, the "Services").
By registering your society on Socei or using our applications, you agree to these Terms. If you do not agree, do not use our Services.
Socei provides a cloud-based society management platform including automated billing, member and vendor management, UPI payment collection, bank reconciliation, TDS/GST compliance workflows, AI-assisted tools, mobile applications, and related services. Each subscription covers one registered co-operative housing society (one legal entity per account).
Socei offers two distinct modes of engagement:
The Customer's managing committee or designated representative operates the platform directly. The Customer is responsible for entering member data, generating bills, recording payments, managing vendor invoices, and approving compliance filings. Socei provides the software platform, hosting, technical support, and periodic updates.
Socei assigns a qualified accounting representative who performs the following on the Customer's behalf:
Account auditing services are performed by a Chartered Accountant as required by law. Other accounting operations are carried out by qualified graduates under the supervision of a CA. The representative may be replaced by the Provider without the Customer's written approval; however, the Provider shall ensure continuity and smooth flow of business.
Socei is, and shall at all times remain, an independent service provider. Socei shall have no power to incur any debt, obligation, or liability on behalf of the Customer or otherwise act on behalf of the Customer as an agent, except where specifically authorised for compliance filings. Neither the Customer nor any of its members shall have control over the conduct of the Provider's employees, except as set forth in these Terms.
The Provider, in the course of its duties, may have access to financial, accounting, statistical, and personal data of individuals associated with the Customer. All such data, documents, discussions, and information developed or received by the Provider are deemed confidential and shall not be disclosed without written authorisation by the Customer, except where disclosure is required by law.
Socei acts as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 for personal data of society members processed through the platform. We comply with the following obligations:
The Provider complies with the Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, including:
Upon termination of the agreement, the Customer may request an export of all its data in a standard machine-readable format. The export will be provided within 30 days of a written authorised request. Financial records retained under statutory obligation will remain accessible to the Customer for the legally mandated period.
The Provider shall not sell, rent, trade, or share personal data with third parties for marketing or advertising purposes. Data is shared only with processors necessary to deliver the Services, as described in the Privacy Policy.
Subscription fees are billed monthly per active unit. UPI payment processing for member collections is subject to Razorpay's terms and applicable gateway charges. Socei does not charge additional transaction fees on UPI collections beyond the payment gateway's charges.
All rates are exclusive of applicable taxes. GST at 18% and any other Central, State, or Local taxes shall be additional and payable at rates notified by the government.
Socei provides tools and services to assist with society administration and compliance but does not act as your tax advisor, legal counsel, or Chartered Accountant (except where a CA is specifically engaged under a managed service plan).
The Customer shall defend, hold harmless, and indemnify the Provider, its proprietor, employees, and agents from any claim, demand, damage, liability, loss, cost, or expense resulting from wilful misconduct or negligent acts of the Customer or any of its members, employees, or agents in connection with the Services.
The Provider shall indemnify the Customer against any liability directly arising from the Provider's gross negligence or wilful misconduct in performing the Services, subject to the liability cap in Section 10.
All intellectual property rights in the Socei platform, mobile applications, software, AI models, and branding remain the exclusive property of the Provider. The Customer is granted a non-exclusive, non-transferable, revocable licence to use the platform for the duration of their subscription. The Customer retains ownership of all its financial data, member data, and society records.
The Provider represents that it presently has no interest, direct or indirect, that would conflict with the performance of the Services, and shall not acquire any such interest during the term. Furthermore, the Provider shall avoid the appearance of any conflict of interest.
Individual members of the Customer's society are "Data Principals" under the DPDP Act, 2023 and have the following rights, which the Provider facilitates through the platform:

These Terms are governed by the laws of India, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019. Disputes shall first be attempted to be resolved through good-faith negotiation. Failing that, disputes are subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
These Terms, together with the Privacy Policy, Data Collection & Consent Policy, and any service-specific annexures executed by the parties, represent the entire agreement between the Customer and the Provider. These Terms supersede all prior oral or written negotiations, representations, or agreements. These Terms may not be amended except in writing signed or digitally accepted by both parties.
